- Where logs and support data are stored

- Require incident notification for security incidents affecting prompts, outputs, or model behavior.
4) Key Contract Clauses for AI Services
Use these as clause categories to look for and propose in redlines.
Scope and permitted use
- Define intended purpose and prohibited uses.
- Define whether the system is a tool for support or can be used for automated decision making.
Documentation and model cards
- Require a model card or system card describing:
- Capabilities and limitations
- Known failure modes
- Evaluation methodology and results relevant to the use case
- Safety mitigations and residual risks
- Human oversight guidance
Performance guarantees and SLAs
- Define uptime, latency, throughput, support response times, and service credits.
- Define performance baselines for the specific use case when feasible.
Change management, versioning, and deprecation
- Require advance notice for material changes.
- Require release notes that describe behavioral changes.
- Require a deprecation policy and migration windows.
- If feasible, require the ability to pin to a model version.
Drift monitoring and evaluation support
- Define responsibilities for monitoring quality and drift.
- Require vendor support for evaluation tooling, test environments, and regression reporting.
Retraining and data use policy
- Prohibit training on customer data by default.
- If allowed, define opt in, scope, and safeguards.
Logging, auditability, and traceability
- Require logging controls and retention configuration.
- Require traceability of model version and configuration for a given output.
- Require audit support, including access to relevant documentation and third party reports.
Incident management and serious incident reporting
- Define what constitutes a serious incident and malfunction.
- Define notification timelines, investigation cooperation, and remediation obligations.
Liability, indemnity, and regulatory cooperation
- Address IP infringement indemnity.
- Address liability for data protection breaches.
- Address responsibility for regulatory inquiries and cooperation.
Exit, portability, and deletion
- Data export formats and API access.
- Transition assistance.
- Deletion commitments and attestations.
5) Red Flags in AI Vendor Contracts (Examples)
Treat these as common RED or YELLOW triggers.
Data use and confidentiality
- Vendor may use customer inputs or outputs for training by default, or via broad purposes like improving services.
- Vendor reserves the right to retain prompts and outputs indefinitely.
- Vendor disclaims confidentiality for inputs, support tickets, or logs.
Compliance and transparency
- No commitment to provide documentation needed for AI Act compliance.
- No serious incident reporting channel or cooperation obligation.
- No disclosure of sub-processors or hosting regions.
Change and control
- Vendor can materially change the model with no notice.
- No ability to audit or obtain independent assurance reports.
- One way change terms that bind the customer automatically.
Liability allocation
- Broad disclaimer that outputs are solely customer responsibility, combined with no meaningful indemnities.
- Liability cap too low for regulatory, data, or IP exposure.
- Exclusion of data breach liability or regulatory fines without negotiation.
IP and output use
- Vendor claims ownership of customer outputs or customer fine tuned models.
- Vendor grants itself broad rights to customer content beyond providing the service.
6) Cross-border Considerations for Major AI Providers
Use this section to frame transfer risk, government access risk, and available mitigations.
OpenAI (US)
- Typical risk: US headquartered provider and potential transfers outside the EEA.
- Key questions: where inference occurs, where logs are stored, whether the service offers EU data residency, and whether training on customer data is default or opt in.
- Contract focus: SCCs, transparency on sub-processors, retention controls, audit reports, and restrictions on data use.
Anthropic (US)
- Typical risk: US headquartered provider and cross-border data flows depending on hosting.
- Key questions: inference region options, retention defaults for prompts, sub-processor chain, and restrictions on training use.
- Contract focus: SCCs, retention and deletion, and cooperation for DSARs and incident handling.
DeepSeek (China)
- Typical risk: China nexus may increase cross-border and government access concerns, plus sector specific restrictions.
- Key questions: corporate structure, hosting location, sub-processor chain, and whether any data is accessed from China.
- Contract focus: strict data minimization, EU only processing where possible, and strong security and auditability.
Mistral (EU)
- Typical advantage: EU established provider may reduce transfer complexity when EU hosting is used.
- Key questions: whether hosting and support operations remain in the EEA and what sub-processors are used.
- Contract focus: standard GDPR controls, audit rights, and AI Act documentation support.
7) Germany Specific - Works Council Notification and Co-determination
When introducing a new AI vendor, consider German co-determination and works council processes.
- If the AI system affects employees, workflows, performance monitoring, scheduling, or personnel decisions, involve the works council early.
- A works council may have co-determination rights where technical systems are used to monitor behavior or performance of employees.
- Document the purpose, data flows, access controls, and safeguards in a works council friendly briefing.
- Build lead time into the rollout plan for consultation, policy updates, and training.
Practical Assessment Output Pattern
When producing an assessment, use:
- GREEN - acceptable
- YELLOW - negotiate or add controls
- RED - escalate or block go live

- Evidence needed from vendor
- Specific redline language
