Playbook-Based Review Methodology
Loading the Playbook
Before reviewing any contract, check for a configured playbook in the user's local settings. The playbook defines the organisation's standard positions, acceptable ranges, and escalation triggers for each major clause type.
If no playbook is available:
- Inform the user and offer to help create one
- If proceeding without a playbook, use widely-accepted English commercial standards as a baseline
- Clearly label the review as "based on general English commercial standards" rather than organisational positions
Review Process
- Identify the contract type: SaaS agreement, professional services, licence, partnership, procurement, etc. The contract type affects which clauses are most material.
- Determine the user's side: Supplier, customer, licensor, licensee, partner. This fundamentally changes the analysis.
- Read the entire contract before flagging issues. Clauses interact with each other (e.g., an uncapped indemnity may be partially mitigated by a broad limitation of liability).
- Analyse each material clause against the playbook position.
- Consider the contract holistically: Are the overall risk allocation and commercial terms balanced?
- Check UCTA compliance: Exclusion and limitation clauses must satisfy the reasonableness test under UCTA s.11 and Schedule 2 (in B2B contracts). Clauses excluding liability for death or personal injury caused by negligence are void (UCTA s.2(1)).
Common Clause Analysis
Limitation of Liability
Key elements to review:
- Cap amount (fixed sterling amount, multiple of fees, or uncapped)
- Whether the cap is mutual or applies differently to each party
- Carve-outs from the cap (what liabilities are uncapped)
- Whether consequential, indirect, or special damages are excluded
- Whether the exclusion is mutual
- Carve-outs from the consequential damages exclusion
- Whether the cap applies per-claim, per-year, or in aggregate

English law considerations:
- UCTA s.2(1): Cannot exclude or restrict liability for death or personal injury resulting from negligence — any such clause is void
- UCTA s.2(2): Exclusion of liability for other loss/damage from negligence must satisfy the reasonableness test
- UCTA s.3: Where one party deals on the other's written standard terms, clauses excluding/restricting liability must satisfy reasonableness

Indemnities

- Procedure: notice requirements, right to conduct the defence, right to settle

English law considerations:
- Indemnity vs damages: Under English law, an indemnity is a primary obligation (a promise to hold harmless against a specified loss), not a secondary obligation arising from breach. This has important consequences:
- Indemnity claims may bypass the remoteness test in Hadley v Baxendale — the indemnifier bears the loss regardless of foreseeability
- Indemnity claims may have a different limitation period (6 years from the loss crystallising, not from the breach)
- The measure of recovery under an indemnity may differ from contractual damages
- Total Transport v Arcadia Petroleum [2024] UKSC — confirmed that the scope of an indemnity is a matter of construction
- Contribution: Civil Liability (Contribution) Act 1978 — may allow a party to seek contribution from another party liable for the same damage
Common issues:

English law considerations:
- No "work-for-hire" doctrine: England does not recognise work-for-hire. IP ownership depends on:
- Employment: Copyright in works created by an employee in the course of employment belongs to the employer (CDPA 1988 s.11(2))
- Commissioned works: Copyright belongs to the author/creator, NOT the commissioner, unless assigned in writing (CDPA s.90(3)). This is a critical difference from US law.

Data Protection
Key elements to review:

English law considerations:
- UK GDPR + Data Protection Act 2018: The primary data protection regime. The UK GDPR is the retained EU law version; the DPA 2018 supplements it with UK-specific provisions.
- ICO: The Information Commissioner's Office is the supervisory authority.
- UK International Data Transfer Agreement (IDTA): The UK's own standard contractual clauses (in force from 21 March 2022), or the UK Addendum to the EU SCCs.
- ICO Transfer Risk Assessment: Required when using the IDTA or UK Addendum for transfers to countries without UK adequacy regulations.

- Wind-down period and obligations
English law considerations:
- No automatic right to terminate for breach: Under English law, only a repudiatory breach (breach of a condition, or breach of an innominate term sufficiently serious to deprive the innocent party of substantially the whole benefit) gives rise to a right to terminate at common law. Contractual termination clauses are therefore critical.
- Affirmation: A party that continues to perform after knowledge of a repudiatory breach may be taken to have affirmed the contract, losing the right to terminate.
- Penalty doctrine: Early termination fees must not be penal. Under Cavendish Square v Makdessi [2015] UKSC, a clause is penal if it imposes a detriment on the contract-breaker out of all proportion to any legitimate interest of the innocent party in the enforcement of the primary obligation. This replaced the older Dunlop test.
Common issues:
- Long initial terms with no termination for convenience

- Escalation provisions (negotiation → mediation → litigation/arbitration)
- Service of process provisions
English law considerations:
- English law is the preferred position for UK-based organisations. Scots law is a separate legal system.
- Exclusive vs non-exclusive jurisdiction: An exclusive jurisdiction clause prevents proceedings in other courts; a non-exclusive clause permits but does not require proceedings in the named court. Consider which is appropriate.
- High Court divisions: The Commercial Court (part of the King's Bench Division) handles significant commercial disputes; the Technology and Construction Court (TCC) handles IT and construction disputes; the Chancery Division handles IP, trusts, and insolvency.
- LCIA: The London Court of International Arbitration is the most common institutional arbitration body for English-seated arbitrations.
- Costs: England follows the "loser pays" principle (CPR Part 44) — the unsuccessful party generally pays the successful party's reasonable costs. This is the default; contractual costs provisions can modify it but rarely need to because the default favours the successful party.

Deviation Severity Classification
GREEN — Acceptable
The clause aligns with or is better than the organisation's standard position. Minor variations that are commercially reasonable and do not materially increase risk.
Examples:
- Liability cap at 18 months of fees when standard is 12 months (better for the customer)
- Mutual NDA term of 2 years when standard is 3 years (shorter but reasonable)
- English law governing law with exclusive High Court jurisdiction
- UCTA-compliant limitation clause
Action: Note for awareness. No negotiation needed.
YELLOW — Negotiate
The clause falls outside the standard position but within a negotiable range. The term is common in the market but not the organisation's preference.
Examples:
- Liability cap at 6 months of fees when standard is 12 months (below standard but negotiable)
- Unilateral indemnity for IP infringement when standard is mutual
- Auto-renewal with 60-day notice when standard is 90 days
- Scots law or other acceptable common law jurisdiction
- Limitation clause that may be borderline on UCTA reasonableness
Action: Generate specific redline language. Provide fallback position. Estimate business impact of accepting vs negotiating.
RED — Escalate
The clause falls outside acceptable range, triggers a defined escalation criterion, or poses material risk. Requires senior counsel review, external solicitor involvement, or business decision-maker sign-off.
Examples:
- Uncapped liability or no limitation of liability clause
- Limitation clause that is likely void under UCTA s.2(1) or unreasonable under s.2(2)/s.3
- Unilateral broad indemnity with no cap
- IP assignment of pre-existing IP, or reliance on "work-for-hire" (ineffective under CDPA)
- No DPA offered when personal data is processed
- Early termination fee that appears penal under Cavendish Square v Makdessi
- Unreasonable non-compete or exclusivity provisions
- Foreign governing law in a problematic jurisdiction with mandatory arbitration
Action: Explain the specific risk, referencing the applicable English law principle. Provide market-standard alternative language. Estimate exposure. Recommend escalation path.
Redline Generation Best Practices
When generating redline suggestions:
- Be specific: Provide exact language, not vague guidance. The redline should be ready to insert.
- Be balanced: Propose language that is firm on critical points but commercially reasonable.
- Explain the rationale: Include a brief, professional rationale suitable for sharing with the counterparty's solicitors.
- Provide fallback positions: For YELLOW items, include a fallback if the primary ask is rejected.
- Prioritise: Not all redlines are equal. Indicate which are must-haves and which are nice-to-haves.
- Consider the relationship: Adjust tone based on whether this is a new supplier, strategic partner, or commodity provider.
- Reference English law: Where the redline addresses a legal risk, briefly note the relevant statute or principle (e.g., "UCTA s.2(1) renders this void" or "assignment requires writing under CDPA s.90(3)").

Issues that improve the position but can be conceded strategically:
- Preferred English law (if alternative is another acceptable common law jurisdiction)
- Notice period preferences
- Minor definitional improvements
- Insurance certificate requirements
- Moral rights waiver (where not critical)
Negotiation strategy: Lead with Tier 1 items. Trade Tier 3 concessions to secure Tier 2 wins. Never concede on Tier 1 without escalation.

PDCA Quality Cycle
Apply ISO 9001 discipline to every contract review:
PLAN: Identify contract type, user's side, playbook position. Classify complexity (standard / bespoke / high-value). Identify which statutes, cases, and regulatory requirements are likely to be engaged.
DO: Execute the clause-by-clause analysis. Generate redlines. Score severity.
CHECK: Run the Citation Quality Gates (below). For any RED-classified item, run the RLM Self-Interrogation. Verify all statutory references are current (not repealed or amended) by checking legislation.gov.uk.

- Is there a counter-argument the counterparty's solicitors will make?
Pass 2 — Completeness:

Writing Standards for Contract Review Output
Apply the Zinsser/Orwell discipline to all prose output:
For redline rationales (shared with counterparty's solicitors):
- Plain English. No corporate waffle.
- Active voice: "This clause excludes liability for negligence" not "Liability for negligence is excluded by this clause"
- Short sentences. One point per sentence.
- Name the actor: "The supplier must..." not "It is required that..."
- Specific, not vague: "UCTA s.2(1) renders this void" not "This may have enforceability issues"
For internal analysis:
- Same plain English standards
- May include more technical legal analysis
- Confidence qualifiers where appropriate

Quality gates before delivery:
- Can a non-lawyer business stakeholder understand the executive summary?
- Can the counterparty's solicitors understand and respond to each redline?
- Is every legal claim backed by a specific citation?
- Are any phrases vague, hedging, or ambiguous? If yes, fix.
- Could any sentence be shorter without losing meaning? If yes, shorten.
Anti-Patterns
Explicit catalogue of what NOT to do in contract review:
- Citing "UCTA" without a section number — Always cite the specific section (s.2(1), s.2(2), s.3, s.11). "UCTA" alone is meaningless.
- Assuming work-for-hire applies — It does not exist under English law. If you see "work made for hire" language in a contract, flag it as ineffective under CDPA, not just "non-standard."
- Treating indemnities as equivalent to damages claims — Under English law, these are legally distinct. An indemnity is a primary obligation; damages arise from breach. Different remoteness rules, different limitation periods. Analyse accordingly.
- Reviewing limitation clauses without checking UCTA — Every exclusion/limitation clause in a B2B contract must be assessed against UCTA reasonableness. Skipping this is a material omission.
- Accepting "consequential loss" at face value — The contract may redefine "consequential" differently from the Hadley v Baxendale second limb. Always check the definition clause.
- Ignoring the penalty doctrine for termination fees — Early termination fees must be assessed against Cavendish Square v Makdessi. Don't just flag the amount — assess whether it protects a legitimate interest proportionately.
- Single-pass analysis — A contract review that reads each clause once, in order, will miss interactions between clauses (e.g., an uncapped indemnity partially mitigated by a broad limitation clause). Read the whole contract, then analyse.
- Redlines without fallback positions — A redline that says "delete this clause" without offering an alternative is a negotiation dead-end. Always provide a fallback.
- US terminology in English law analysis — "Attorney's fees," "punitive damages," "class action waiver," "jury waiver" — none of these have meaning under English law. Don't import them.
- Confidence without evidence — Never state "this clause is unenforceable" without citing the specific statute or case that renders it so. Confident assertions without authority are more dangerous than expressed uncertainty.
